WC Finance Connector End User License Agreement

Effective date: August 10, 2026

This End User License Agreement (“Agreement”) governs access to and use of the WC Finance Connector (the “Connector”), an internal application operated by Amzaleg’s LLC, doing business as Wicked Cushions (“Wicked Cushions,” “we,” “us,” or “our”). By accessing or using the Connector, you agree to this Agreement.

1. Authorized internal use

Subject to this Agreement, Wicked Cushions grants authorized Wicked Cushions personnel and approved company agents a limited, revocable, non-exclusive, non-transferable right to use the Connector solely for Wicked Cushions’ internal business purposes. No right is granted for public, personal, competitive, resale, or third-party use.

2. Connector functionality

The Connector allows approved users and agents to request reports and information from Wicked Cushions’ QuickBooks Online account. Intuit’s OAuth permission for QuickBooks Online Accounting is not technically limited to read-only access; however, the Connector is designed to expose only approved report and lookup functions and does not provide user-facing functions to create, update, or delete QuickBooks records.

3. User responsibilities

You must protect credentials and access links, follow Wicked Cushions’ security and confidentiality requirements, and use financial information only for authorized company purposes. You may not share access with an unauthorized person, attempt to bypass access controls, reverse engineer or disrupt the Connector, introduce malicious code, or use the Connector in violation of law or third-party rights.

4. Company data and confidentiality

All accounting and company information accessed through the Connector remains confidential information of Wicked Cushions or its applicable licensors. Nothing in this Agreement transfers ownership of that information. You must not copy, disclose, retain, or use it except as authorized by Wicked Cushions.

5. Third-party services

The Connector depends on third-party services, including QuickBooks Online and Intuit APIs. Your use of those services may also be governed by their terms and policies. Wicked Cushions does not control and is not responsible for changes, outages, or restrictions imposed by third-party services.

6. Suspension and termination

Wicked Cushions may suspend or terminate access at any time, including for security concerns, misuse, employment or contractor status changes, or discontinuation of the Connector. Upon termination, you must stop using the Connector and comply with any instructions concerning confidential information.

7. Disclaimer

The Connector and its outputs are provided “as is” and “as available.” To the maximum extent permitted by law, Wicked Cushions disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. Connector outputs may be incomplete or inaccurate and do not replace review by qualified accounting, tax, or legal professionals.

8. Limitation of liability

To the maximum extent permitted by law, Wicked Cushions will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunities arising from use of or inability to use the Connector. Nothing in this Agreement limits liability that cannot legally be limited.

9. Changes

We may update this Agreement as the Connector or legal requirements change. Continued use after an updated Agreement is published constitutes acceptance of the updated terms.

10. Governing law

This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute will be brought in a court of competent jurisdiction in Los Angeles County, California, unless applicable law requires otherwise.
